Accounts
Keep your credentials secret; you’re responsible for activity.
You must be at least 16 or have consent if required by law.
Provide accurate info; notify us of changes or compromise.
To access certain features, you must create an account with accurate and complete information. You are solely responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree to promptly update your details and notify ClearCell of any unauthorized use or security incident. You must be at least sixteen (16) years of age or meet the minimum age required by applicable law in your jurisdiction.
Content & Intellectual Property
Courses and materials are licensed, not sold.
No reproduction, distribution, or derivative works without permission.
You retain rights to your submissions; you grant us a limited license to host and display.
All courses, software, and related materials are the exclusive property of ClearCell or its licensors and are provided under a limited, non-exclusive, non-transferable license. Except as expressly permitted, you may not copy, modify, distribute, display, perform, create derivative works, or otherwise exploit the materials. You retain ownership of user-generated content you submit while granting ClearCell a worldwide, royalty-free license to host, store, reproduce, and display such content solely for service operation and improvement.
Payments, Trials, and Refunds
Fees are charged in advance; taxes may apply.
Subscriptions auto-renew unless cancelled.
Refunds available within 14 days if less than 20% of content consumed.
You authorize ClearCell to charge the payment method on file for the applicable fees and any taxes. Subscription plans renew automatically at the end of each term unless you cancel prior to renewal. Unless otherwise stated, fees are non-refundable; however, we may issue a refund within fourteen (14) days of purchase if you have consumed less than twenty percent (20%) of the course content, in our reasonable discretion.
Acceptable Use
No unlawful, harmful, or abusive behavior.
No reverse engineering or unauthorized access.
No sharing of content outside your license scope.
You agree not to use the services in a manner that violates laws, infringes rights, or is harmful, harassing, or deceptive. You must not access or attempt to access non-public areas, interfere with service integrity, probe or scan for vulnerabilities, or reverse engineer any component except to the extent permitted by law that cannot be waived. You may not rent, lease, sell, sublicense, or share content beyond the license scope.
Privacy
We collect only what we need to operate the service.
Security safeguards are in place; no method is 100% secure.
You control marketing preferences; cookies are configurable.
ClearCell processes personal data as described in our privacy practices, collecting only the data necessary to provide and improve the services. We implement administrative, technical, and physical safeguards to protect information; however, no method of transmission or storage is completely secure. You may manage communication preferences at any time and control optional cookies through the cookie settings.
Suspension & Termination
We may suspend accounts for violations or risks.
You can stop using the service anytime; some rights survive.
We may suspend or terminate access immediately for material breaches, legal requirements, risk to users, or non-payment. You may discontinue use at any time. Sections relating to intellectual property, limitations, disclaimers, indemnity, and governing law shall survive termination.
Disclaimers & Limitation of Liability
Service provided “as is” without warranties except as required by law.
Our liability is limited to fees paid in the last 12 months.
Except as required by law, the services are provided “as is” and “as available.” ClearCell disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted, ClearCell’s total liability for any claim shall not exceed the amounts paid by you for the services in the twelve (12) months preceding the event giving rise to the claim.
Governing Law & Disputes
Law of Delaware, USA governs, excluding conflicts rules.
Arbitration for disputes; class actions waived where permitted.
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Except where prohibited, disputes will be resolved by binding arbitration on an individual basis, and you waive participation in class actions or class-wide relief.
